1985 AND 1989 COMPANY LIMITED BY GUARANTEE AND NOT HAVING A SHARE CAPITAL MEMORANDUM OF ASSOCIATION OF CASINO OPERATORS' ASSOCIATION OF THE UK |

| 1. | The name of the Company is Casino Operators' Association of the UK ("the Association"). | |
| 2. | The registered office of the Association will be in England. | |
| 3. | The objects of the Association are: | |
| 3.1 | to promote the business of gaming within the United Kingdom and to promote, assist and protect the interest of casino operators; | |
| 3.2 | to provide for the formation and exchange of views on any question connected with the operation of casinos and to represent and express the collective views of members on matters relating to casino gaming to all persons and organisations with an interest in receiving them. | |
| 4. | The Association has the following powers, which may be exercised only in promoting the main objects: | |
| 4.1 | to collect, publish and distribute information and material of all kinds; | |
| 4.2 | to purchase, take on lease or in exchange, hire or otherwise acquire any real and personal property which may appear convenient; | |
| 4.3 | to construct, maintain and alter any houses, buildings or installations; | |
| 4.4 | to accept any gift of property, whether subject to any special trust or not, for any purpose within the main objects; | |
| 4.5 | to take such steps as may seem expedient for the purpose of procuring contributions to the funds of the Association; | |
| 4.6 | to sell, lease, mortgage or otherwise deal with all or any part of the property of the Association; | |
| 4.7 | to borrow and raise money and secure its repayment in any manner; | |
| 4.8 | to invest the funds of the Association in or upon such investments, securities or property as may be thought fit; | |
| 4.9 | to undertake and execute any trusts or any agency business which may seem conducive to any of the main objects; | |
| 4.10 | to establish and support, and to aid in the establishment and support of, any other association formed to promote all or any of the main objects; | |
| 4.11 | to amalgamate with any companies, institutions, societies or associations having objects wholly or in part similar to those of the Association; | |
| 4.12 | to purchase or otherwise acquire and undertake all or any part of the property, assets, liabilities and engagements of any body with which the Association is authorised to amalgamate; | |
| 4.13 | to transfer all or any part of the property, assets, liabilities and engagements of any body with which the Association is authorised to amalgamate; | |
| 4.14 | to promote or oppose legislation or other measures affecting members of the Association and to lobby Parliament or the European Commission or any other regulatory body; | |
| 4.15 | to do all such other lawful things as are incidental or conducive to the pursuit or to the attainment of any of the main objects. | |
| 5. | The income of the Association, from wherever derived, shall be applied solely in promoting the above objects, and no distribution shall be made to its members in cash or otherwise. Provided that nothing shall prevent the payment in good faith of reasonable and proper remuneration to any officer or servant of the Association or the payment of expenses and interest on money lent or reasonable and proper rent for premises demised or let to the Association. | |
| 6. | The liability of the members is limited. | |
| 7. | Every member promises, if the Association is dissolved while he, she or it remains a member or within twelve months afterwards, to contribute up to £1 towards the costs of dissolution and the liabilities incurred by the Association while the contributor was a member. | |
| 8. | If the Association is dissolved the assets (if any) remaining after provision has been made for all its liabilities must be applied in one or more of the following ways: | |
| 8.1 | by transfer to one or more other bodies established for purposes within, the same as or similar to the main objects of the Association; | |
| 8.2 | by transfer to another body the objects of which are charitable. | |
